(1) “Unadjusted Support” reflects the raw vote percentage a proposal received out of all votes cast, including those from insiders and dual-class shareholders. This figure can be misleading at companies where insiders control significant voting power, as it may understate the true level of support from independent, public shareholders. (2) “Independent Support” is calculated by dividing the number of votes "For" a proposal by the total number of independent votes—excluding insider-controlled votes often tied to dual-class share structures. This method offers a clearer picture of where independent shareholders truly stand on key proposals, free from the distortion of insider influence.
